METERBACK — PILOT COMMERCIAL TERMS

Working business name: MeterBack

These terms are intended for the initial Recovery Snapshot and pilot audit service.

1. Service

MeterBack reviews customer-supplied AI and SaaS invoices, agreements, usage records and related evidence to identify potential:

• billing corrections;
• refunds or credits;
• removable recurring spend;
• renewal savings;
• prepaid-credit risks;
• cost-optimisation opportunities.

MeterBack may provide draft correspondence or recommended actions.

2. Free Recovery Snapshot

The initial one-vendor Recovery Snapshot is provided at no charge unless otherwise agreed in writing.

A Snapshot is a preliminary review and may not identify every issue.

3. Paid recovery fee

Where the customer proceeds with a MeterBack-supported recovery, the Release 1 commercial model is:

• 15% of cash credits or refunds actually realised from historical billing issues; and
• 15% of the first 12 months of recurring spend actually removed or reduced, where that reduction is implemented and verified.

No fee is due merely because MeterBack identifies a theoretical or unimplemented opportunity.

Any different fee arrangement must be agreed in writing.

4. Verified value

"Verified value" means value evidenced by one or more of:

• vendor credit note;
• refund;
• corrected invoice;
• cancelled or reduced subscription;
• executed renewal or pricing amendment;
• customer financial record confirming the implemented saving.

5. Customer authority

The customer confirms it has authority to provide the documents and data supplied.

The customer remains responsible for approving:

• vendor claims;
• cancellations;
• contract changes;
• settlements;
• financial commitments.

MeterBack does not bind the customer or accept a settlement unless separately and expressly authorised.

6. Evidence

MeterBack will distinguish between:

• proven;
• strongly supported;
• estimated;
• not actionable.

MeterBack does not guarantee that a vendor will accept a claim.

7. No legal, tax or accounting advice

The service is a commercial billing and spend review.

It is not legal, tax, accounting or regulatory advice.

Customers should obtain specialist advice where required.

8. Customer decisions

The customer retains final responsibility for commercial decisions, including whether to:

• dispute a charge;
• cancel a product;
• change vendors;
• alter technical architecture;
• change AI models;
• rely on a proposed saving.

9. Data handling

Customer information will be handled in accordance with the MeterBack Privacy & Data Handling Notice and any separately agreed data-processing terms.

Customers should not provide passwords, API keys, private keys or other authentication secrets.

10. Payment

Where a fee becomes due, MeterBack will issue an invoice based on verified realised value.

Payment terms: 14 days from invoice date, unless otherwise agreed.

11. Limitation

MeterBack's analysis depends on the completeness and accuracy of the evidence supplied.

MeterBack is not responsible for issues that could not reasonably be identified from the supplied material.

Any liability cap, governing law, dispute process, entity details and legally required consumer/business terms must be finalised for the business entity before these terms are relied on as a binding public contract.

12. Pilot status

Release 1 is a pilot commercial service.

The customer may be asked for feedback on:

• accuracy;
• usefulness;
• realised recovery;
• false positives;
• audit process.

Customer confidential information will not be publicly identified without permission.
